Organizational Structure

The Ethiopian Securities Exchange is organized as a share company in accordance with the Commercial Code of Ethiopia (2021). ESX implements a corporate organization and governance framework following international best practices.

  • Having a Board of directors, where at least 1/3 will be independent, including representatives from the financial and capital market ecosystem including issuers and investors etc.
  • Having dedicated market committees for both equity and fixed income markets that deal with the regulatory and delegated enforcement functions of ESX.
  • Separate by ‘ring fencing’ the operation and governance of the market from shareholders interest on the exchange.
  • Building an efficient management and human resource strategy that caters for the development stages of the exchange.

Capital market regulatory environment

ESX will serve as a licensed securities exchange platform by the ECMA in line with Article 30 and 31 of the Capital Market Proclamation No.1248/2021. ECMA is the apex regulator of the capital markets in Ethiopia and is responsible for setting the legal framework and regulating entities interested in participating ESX.
